Terms of Service

1. Agreement to Terms

By accessing or using Memcode's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. The services are provided by Memcode AI, Inc. ("Memcode", "we", "us").

2. Service Usage Restrictions

Our services are not intended to provide legal, medical, or financial advice. Memcode AI, Inc. expressly disclaims any responsibility or liability for any actions taken based on the output of our services. Users should not rely on our services for:

  • Legal advice or legal decision making
  • Medical diagnosis, treatment, or healthcare decisions
  • Financial advice or investment decisions

AI-generated output, including generated code, may contain errors. You are solely responsible for reviewing, testing, and validating any output before relying on it or deploying it, and for verifying any information or suggestions provided through our services with qualified professionals in the respective fields.

3. Model Provider Requirements

Our services utilize AI models from various providers including OpenAI, Anthropic, Google, xAI, and Fireworks. By using our services, you agree to comply with all applicable terms, policies, and requirements of these model providers, including but not limited to:

Violation of any model provider's terms or policies may result in immediate termination of your access to our services.

4. Age Restrictions

Our services are not intended for users under the age of 18. By using our services, you represent and warrant that you are at least 18 years of age. If you are under 18, you must not access or use our services.

5. Service License

Subject to these Terms and your compliance with them, including payment of all applicable fees, Memcode grants you a limited, non-exclusive, non-transferable license to access and use our services, including the Memcode CLI, for your business purposes. Under this license you may not:

  • Sublicense, resell, redistribute, white-label, or otherwise provide access to the services to third parties, except pursuant to a separately executed written agreement signed by an authorized officer of Memcode AI, Inc.
  • Modify, reverse engineer, decompile, or create derivative works of the service
  • Remove any proprietary notices or labels
  • Use the service in any way that violates applicable laws

6. Acceptable Use

You may not:

  • Share, pool, or rotate accounts or seats to circumvent per-seat licensing, or share organization keys outside your organization
  • Circumvent, disable, or interfere with usage metering, entitlement checks, rate limits, or any other billing or security feature of the services
  • Access the services through automated means that scrape, crawl, or systematically extract the service itself, other customers' data, or non-public portions of the platform (normal use of the CLI, API, and agents you run on your own account is of course expected and permitted)
  • Use the services to develop, train, or benchmark a competing AI coding product
  • Use the services to create, transmit, or store material that is unlawful, or to infringe the intellectual property or privacy rights of others

Monitoring and enforcement. Memcode monitors usage patterns for indicators of abuse and prohibited uses. Violations may result, at our sole discretion, in suspension or termination of access, IP-level blocking, claims for damages, and injunctive relief.

7. Subscriptions, Starter Credit & Billing

  • Subscriptions. Access to the services requires an active paid subscription. Subscriptions are billed monthly in advance through Stripe and renew automatically until canceled. The first payment is charged immediately at checkout. Seat counts on team plans are billed per the pricing page in effect at the time of purchase.
  • Starter credit. A new paid organization receives a one-time $5 usage credit on activation, limited to one starter credit per organization. It is promotional, has no cash value, is non-transferable, and is not repeated on renewal.
  • Usage credits. Model usage is debited from a prepaid credit balance at the provider's exact cost. Credits never expire and are non-transferable. Usage served on API keys you supply is not debited.
  • Cancellation. You may cancel at any time from the billing page; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
  • Price changes. We may change subscription pricing with at least 30 days' notice; changes apply from your next billing period.

8. Usage and Limits

Memcode reserves the right to establish, modify, and enforce usage limits and restrictions for its services at its sole discretion. These limits may include, but are not limited to:

  • Number of API requests
  • Storage capacity
  • Processing time
  • Model access and availability
  • Feature accessibility
  • Number of chats and conversations
  • File upload limits

By using our services, you acknowledge and agree that:

  • Usage limits are subject to change without prior notice
  • Memcode may monitor and enforce these limits
  • Exceeding limits may result in service restrictions or additional charges
  • Continued use of the service is contingent upon compliance and agreement with these limits
  • We may modify, restrict, or discontinue features at any time

9. Account Terms

Access to our services requires a valid account. You agree to:

  • Provide accurate account information
  • Maintain the security of your account credentials and organization keys
  • Use the service within any applicable usage limits

10. Your Content and Outputs

You retain all rights to the source code, prompts, files, and other content you provide to the services, and to the outputs generated for you, including generated code. Memcode claims no ownership over your code or your outputs. You grant Memcode only the limited rights needed to operate the services: to process your content for the purpose of serving your requests and to store what you choose to store in the services. We do not use your content or outputs to train AI models.

You represent and warrant that you have all necessary rights and consents to provide any content you input into our services.

11. Disclaimer

Our services are provided "as is". Memcode makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement of intellectual property

12. Limitations of Liability

In no event shall Memcode or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of or inability to use the service.

13. Data Processing

By using our services, you acknowledge and agree that Memcode may process your data as described in our Privacy Policy. We do not sell your data to third parties and we do not use your data to train AI models.

14. Sign-In and Third-Party Services

You sign in to Memcode with a third-party identity provider (Google or GitHub). Any use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You may revoke Memcode's access at any time from your identity provider's settings.

If you supply your own model provider API keys, you are responsible for complying with the terms of those providers. Memcode is not responsible for the availability, accuracy, or content of third-party services.

15. Revisions

We may revise these terms of service at any time. Material changes will be notified to you through the service or via email. Your continued use of the service after such changes constitutes acceptance of the updated terms.

16. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions, and you irrevocably submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
